About Opening Night Capital, LLC

An Equity Crowdfunding and Investment Portal for Theater and Film

Opening Night Capital, LLC, is the first and only securities broker of its kind, founded for the express purpose of raising capital for theater and film. Its charter is to tap new sources of capital for Broadway, London, and other theater centers, as well as independent and feature films.

Although Opening Night Capital raises capital through traditional Regulation D offerings -- also known as private placements -- targeting accredited investors only, it also features an online equity crowdfunding and investment portal that may be used to raise capital from "the crowd." The JOBS Act has opened theater and film investing to unaccredited investors. Producers may now reach beyond the usual prospects to raise capital for their productions.

As the sole brokerdealer firm in the theater and film investing space, Opening Night Capital may:

  • Offer investment advice or recommendations
  • Find investors on behalf of the producer
  • Compensate employees, agents, or other persons for such solicitation or based on the sale of securities displayed or referenced on its website or portal Hold, manage, possess, or otherwise handle investor funds or securities
  • Engage in any other activities that the SEC determines to be inappropriate Equity crowdfunding portals who are not brokerdealers are prohibited from performing all of the above.

Equity crowdfunding portals that are not brokerdealers are prohibited from performing all of the above.

The firm’s principal, Ruben Brache, a Broadway and Off Broadway producer himself, has long-standing ties with many of Broadway’s top producers and has begun forging agreements to raise capital for Broadway, Off Broadway, and independent and feature films.
